These terms specifically govern your use of the WBSO Grant Advisory Tool and supplement Whatsub’s General Terms of Service. The General Terms of Service still apply, but if there’s ever a conflict, the terms specific to the WBSO tool will take the lead—because grants are serious business.
Our tool is designed to help you identify and apply for WBSO grants with ease. While we do our best to simplify the process, grant approvals are ultimately up to the folks at RVO, not us (but we’re rooting for you!).

Whatsub WBSO Grant Advisory Services Terms and Conditions
By accessing or using Whatsub's WBSO grant advisory services, you (the "Client") acknowledge and agree to these terms and conditions. Your continued use of our services constitutes acceptance of these terms.

1. Scope of Services
Whatsub will assist with the WBSO application process, which includes:

Reviewing and analyzing project details provided by the Client.

Consulting on and gathering relevant supporting documentation.

Engaging WBSO experts for review and quality assurance.

Submission of the WBSO application to the RVO on behalf of the Client (subject to proper eHerkenning authorization).

Providing follow-up support for RVO queries related to the application.
Additional services outside this scope may incur extra charges and will be agreed upon separately.
2. Client Responsibility
The Client acknowledges that they retain full responsibility for the accuracy and compliance of the WBSO application, even when Whatsub acts as an intermediary. Whatsub’s role is advisory and supportive; the Client is ultimately accountable for meeting RVO’s application requirements.
3. Fees and Payment Terms
Whatsub operates on a success-fee model:

Success Fee: A percentage of the approved WBSO funding will be charged as a success fee based on the R&D declaration received by the Client, which allows them to apply the tax benefit.

Payment Timeline: The success fee will be invoiced upon the Client's receipt of the R&D declaration. Payment is due within 30 days of invoicing to ensure alignment with the Client’s receipt of benefit confirmation.

Fee Transparency: All fees are outlined in advance. Whatsub’s success fee applies based on the approved funding amount; no additional fees will be charged without prior agreement.
4. Independent Contractor
Whatsub operates as an independent contractor and not as an employee, partner, or joint venture participant of the Client. Whatsub is responsible for its own taxes and benefits.

5. Authorization and Access
To ensure efficient application submission, the Client agrees to establish chain authorization (ketenmachtiging) via eHerkenning, granting Whatsub the necessary permissions to access the RVO portal on the Client's behalf. Delays in authorization may impact Whatsub’s ability to provide services promptly.
6. Confidentiality
Both Whatsub and the Client agree to maintain the confidentiality of all exchanged information. Whatsub will handle the Client’s project information with care and will not disclose it to any third parties, except when required to fulfill the contract’s terms, such as engaging expert reviewers.
7. No Guarantee of Approval
Whatsub will use its best efforts to support the Client in preparing and submitting a quality application; however, approval and funding are subject to RVO’s discretion. Whatsub does not guarantee any specific outcome or funding amount.
8. Termination
Either party may terminate these terms with 30 days' written notice. In the event of termination, the Client agrees to:

Pay for all services completed up to the termination date.

Compensate Whatsub for the time and resources invested in the application at a fair hourly rate of € 100,- per hour, or a prorated portion of the success fee based on the estimated completion level of the application, whichever is lower.
This ensures that Whatsub is fairly compensated for work performed up to the point of termination.
9. Limitation of Liability
Whatsub’s liability in connection with this agreement shall be limited to the total amount of fees paid by the Client to Whatsub. Whatsub shall not be liable for any indirect, incidental, or consequential damages.
10. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, government regulations, or other forces outside of either party’s control.
11. Intellectual Property
Whatsub retains ownership of any tools, templates, or materials developed or used in the WBSO application process. These resources are provided solely to support the Client’s application and should not be reused or distributed outside of Whatsub’s services without prior permission.
12. Data Privacy
Whatsub complies with applicable data protection regulations, including GDPR. The Client’s data will be used solely for the purposes of providing WBSO advisory services and will not be shared with third parties outside of the requirements of this agreement. By signing up for our services, the Client agrees that Whatsub may contact them with relevant updates, service notifications, and other communications necessary for the provision of our services. Clients can opt out of non-essential communications at any time by contacting us at hello@whatsub.co.

13. Modification of Terms
Whatsub reserves the right to update these terms and conditions at any time. Any changes will be effective immediately upon posting the updated terms on Whatsub's website. By continuing to use Whatsub’s services after any changes, the Client agrees to be bound by the updated terms.

14. Entire Agreement
These terms, along with the Pricing Document, constitute the entire agreement between Whatsub and the Client regarding WBSO advisory services and supersede all prior and contemporaneous agreements, discussions, and understandings, whether written or oral. Any amendments or modifications to this agreement must be made in writing and signed by both parties.

15. Governing Law
These terms are governed by Dutch law. Any disputes arising under this agreement will be resolved in the courts of Noord Nederland.
